Welcome to Helmsby. These Terms of Service ("Terms") govern your access to and use of the Helmsby website, products, and services (the "Service"). By accessing or using the Service, you agree to these Terms.

Helmsby is a software product under development in the United Kingdom. Once registered, the Terms will apply to the relevant Helmsby legal entity.

3. Pre-Launch Status & No Guarantee

Helmsby is currently in early development. Features described on the website may not yet be available or may change.

You acknowledge that:

  • We do not guarantee availability, accuracy, or performance

4. Early Access, Accounts & Waitlists

If you sign up for a waitlist, newsletter, or early access:

  • We may contact you about updates, releases, and invitations
  • Access is not guaranteed
  • We may revoke access at any time

If accounts or login features are introduced in the future, additional terms may apply.

5. Intellectual Property

All content on the Service—including logos, icons, branding, images, text, website design, and software—is owned by Helmsby or licensed to us.

You may not:

  • Copy or redistribute content
  • Use the Helmsby name or branding without permission
  • Reverse engineer or modify the Service in any way

We use the following third-party service providers to operate the Service:

  • Vercel Inc. — Hosting and privacy-friendly analytics (GDPR-compliant)
  • Clerk Inc. — User authentication and session management (GDPR-compliant)

These providers' terms and policies govern your use of their services. We are not responsible for their practices, but both maintain appropriate GDPR compliance and security measures.

7. Your Content and Data Ownership

When you use Helmsby to connect data sources or upload information:

  • You retain ownership of all your data, content, and connected information
  • You grant us a limited license to process and analyze your data solely to provide the Service
  • We will not sell, share, or use your data for purposes other than operating the Service
  • Upon termination, you may request deletion of your data (see our Privacy Policy)

8. Data Processing

When you connect your product data sources to Helmsby:

  • You remain the data controller of your product data
  • Helmsby acts as a data processor, processing data on your behalf
  • We process data only according to your instructions and applicable data protection laws
  • For business customers, a separate Data Processing Agreement (DPA) may apply

We implement appropriate technical and organizational measures to protect your data in compliance with UK GDPR and applicable data protection laws.
